National Express Rejects Stagecoach, Will Sell Shares
Oct. 29 (Bloomberg) -- National Express Group Plc , which became a bid target after losing money on its longest rail route, rejected a 1.6 billion-pound merger ($2.6 billion) with Stagecoach Group Plc and will sell shares instead to cut debt.
National Express fell 12 percent in London trading after it said last night that talks had been called off because a deal with Stagecoach would take too long, leading to higher interest payments. The all-share deal would have given National Express investors 40 percent of the combined company.
“There was always a speculative element to the Stagecoach bid and I don’t think National Express is necessarily destined to lose its independence,” said Douglas McNeill at Astaire Securities in London. He rates National Express “buy.”
The operator of Britain’s biggest long-distance bus network became vulnerable to takeover following losses at its East Coast rail unit, which the U.K. government plans to nationalize before the year’s end. Stagecoach’s approach followed the failure of a bid from CVC Capital Partners Ltd. and Spain’s Cosmen family.
